TERMS OF SERVICE

1. INTRODUCTION AND ACCEPTANCE OF TERMS

Welcome to Piggy ("Company," "we," "us," or "our"), a Lightning Network-enabled Bitcoin tipping platform designed to empower merchants and service workers to receive Bitcoin tips directly and instantly. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Piggy.

By accepting, accessing, or using a Piggy device or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. SERVICE DESCRIPTION

2.1 Piggy provides hardware devices pre-configured with Lightning Network capabilities for receiving Bitcoin tips.

2.2 The Service is provided to qualifying merchants at no upfront hardware cost, with a processing fee deducted from received tips as described in Section 7.

2.3 Piggy reserves the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. DEVICE OWNERSHIP AND RESPONSIBILITIES

3.1 The Piggy device remains the exclusive property of Piggy and is provided to merchants on a subsidized basis for the duration of the service agreement.

3.2 Users are responsible for:

  1. The physical security, care, and proper use of the device;
  2. Maintaining the device in good working condition;
  3. Reporting any malfunction, damage, or loss immediately; and
  4. Using the device solely for its intended purpose of receiving Bitcoin tips through the Lightning Network.

3.3 Users shall not:

  1. Attempt to modify, reverse engineer, or tamper with the device;
  2. Use the device for any illegal or unauthorized purpose; or
  3. Transfer, sell, or sublease the device to any third party.

4. TIP DISTRIBUTION AND MANAGEMENT

4.1 Merchants can access the Piggy dashboard to manage tip distribution among employees.

4.2 Tip allocation can be configured:

  1. Equally among designated recipients;
  2. According to custom percentage-based allocation; or
  3. Based on other distribution methods made available through the Service.

4.3 The dashboard provides real-time balance information, transaction history, and withdrawal capabilities.

4.4 Merchants are solely responsible for:

  1. The accuracy of tip distribution configurations;
  2. Compliance with applicable tax laws regarding tip reporting and distribution; and
  3. Any disputes arising from tip allocation among employees.

5. PRIVACY AND DATA PROTECTION

5.1 Piggy respects your privacy and is committed to protecting any data collected through the Service.

5.2 No personal identification information is required to use the basic Service.

5.3 We collect minimal data necessary to:

  1. Process transactions;
  2. Provide customer support;
  3. Improve our Service; and
  4. Comply with applicable laws and regulations.

5.4 By using the Service, you consent to the collection and use of information as outlined in these Terms.

6. BITCOIN CUSTODY AND WITHDRAWALS

6.1 Piggy strongly encourages Bitcoin self-custody and does not intend to serve as a long-term custodian of user funds.

6.2 Users are advised to:

  1. Regularly withdraw Bitcoin tips to their personal, self-custodial Lightning wallets;
  2. Follow best practices for secure Bitcoin custody; and
  3. Maintain backup procedures for their personal wallets.

6.3 Withdrawals:

  1. Can be initiated through the Piggy dashboard;
  2. Are subject to network conditions and minimum withdrawal amounts; and
  3. May incur network fees separate from Piggy processing fees.

6.4 Piggy assumes no responsibility for:

  1. User errors in withdrawal requests;
  2. Delays due to network congestion; or
  3. Issues arising from third-party wallet services.

7. FEES AND PAYMENT STRUCTURE

7.1 Processing Fee:

  1. A processing fee will be deducted from each tip received through the Service;
  2. The current fee structure is available on our website or dashboard; and
  3. Fees are subject to change with notice to users.

7.2 Fee Transparency:

  1. All applicable fees are clearly displayed in the dashboard;
  2. Fees are used to maintain and improve the Piggy platform; and
  3. Fee revenue enables us to provide devices at subsidized costs to merchants.

7.3 Tax Considerations:

  1. Users are solely responsible for determining what, if any, taxes apply to their Bitcoin transactions;
  2. Piggy does not provide tax advice; and
  3. Users are responsible for reporting and paying all applicable taxes.

8. USER CONDUCT AND PROHIBITED ACTIVITIES

8.1 Users agree to use the Piggy device and Service legally and ethically.

8.2 Prohibited Activities. Users shall not use the Service to:

  1. Violate any applicable law or regulation;
  2. Engage in fraudulent or deceptive practices;
  3. Facilitate money laundering, terrorist financing, or other financial crimes;
  4. Infringe upon the rights of others; or
  5. Attempt to gain unauthorized access to the Service or related systems.

8.3 Consequences of Violations:

  1. Any misuse or fraudulent activity will result in immediate termination of service;
  2. Piggy reserves the right to report illegal activities to appropriate authorities; and
  3. Users may be held liable for damages resulting from violations of these Terms.

9. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

9.1 Service Provided "As Is":

  1. The Service is provided on an "as is" and "as available" basis;
  2. Piggy disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement; and
  3. Piggy does not warrant that the Service will be uninterrupted, error-free, or secure.

9.2 Bitcoin Risks:

  1. Users understand and accept the inherent risks of using Bitcoin and Lightning Network technology;
  2. Bitcoin price volatility may affect the value of received tips; and
  3. The Lightning Network is experimental technology with inherent risks.

9.3 Limitation of Liability:

  1. To the maximum extent permitted by law, Piggy shall not be liable for any indirect, incidental, special, consequential, or punitive damages;
  2. Piggy's total liability shall not exceed the amounts actually paid by and/or due from you in connection with the Service during the six (6) month period immediately preceding the event giving rise to such claim; and
  3. Piggy is not responsible for user errors, lost devices, misconfigurations, or any losses resulting from third-party actions.

10. MODIFICATIONS TO TERMS

10.1 Piggy reserves the right to modify these Terms at any time at our sole discretion.

10.2 Material changes will be communicated through:

  1. Notices on our website or dashboard;
  2. Direct communication when possible; or
  3. Other reasonable means.

10.3 Continued use of the Service after any modification constitutes acceptance of the updated Terms.

11. TERMINATION

11.1 Termination by Piggy:

  1. Piggy may terminate or suspend your access to the Service at any time for any reason without prior notice;
  2. Grounds for termination include, but are not limited to, violations of these Terms, fraudulent activity, or extended periods of inactivity; and
  3. Upon termination, you must cease all use of the Service and return any Piggy devices.

11.2 Termination by User:

  1. You may discontinue use of the Service at any time by returning the device and notifying Piggy; and
  2. Upon termination, you must withdraw any remaining Bitcoin balance within 30 days.

11.3 Effect of Termination:

  1. Upon termination, your right to use the Service will immediately cease;
  2. Provisions that by their nature should survive termination shall survive termination; and
  3. Termination does not relieve you of any obligations incurred prior to termination.

12. BITCOIN EDUCATIONAL MISSION

12.1 Piggy's primary mission is to onboard and educate individuals about Bitcoin.

12.2 By using this Service, users contribute to the broader goal of Bitcoin adoption.

12.3 Piggy may provide educational resources and support to help users better understand Bitcoin technology.

13. DISPUTE RESOLUTION AND GOVERNING LAW

13.1 These Terms are governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles.

13.2 Any dispute arising from or relating to these Terms or the Service shall be resolved through:

  1. Good faith negotiation between the parties;
  2. If unresolved, mediation in Spain; and
  3. If still unresolved, binding arbitration in Spain.

13.3 The user shall bear both our costs in any dispute resolution proceedings.

13.4 Each party waives any right to a jury trial in any dispute.

14. GENERAL PROVISIONS

14.1 Entire Agreement: These Terms constitute the entire agreement between you and Piggy regarding the Service.

14.2 Severability: If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 No Waiver: Failure by Piggy to enforce any provision of these Terms shall not constitute a waiver.

14.4 Assignment: You may not assign your rights under these Terms without Piggy's prior written consent. Piggy may assign its rights without restriction.

14.5 Force Majeure: Piggy shall not be liable for any failure to perform due to causes beyond its reasonable control.
